Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the SynpixCloud platform ("Service"), a dedicated GPU cloud infrastructure service. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
SynpixCloud is operated by Synpix Ltd, a company registered in England and Wales (Company No. 16786340), with its registered address at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.
2. Description of Service
SynpixCloud provides dedicated GPU compute instances accessible via SSH. The Service includes:
- Dedicated GPU instances with various hardware configurations
- Prepaid billing on hourly, daily, or monthly cycles
- SSH access to provisioned instances
- Persistent storage options, including retained disk functionality
The Service does not guarantee a specific uptime percentage, instant instance provisioning, or particular performance outcomes. Instance availability depends on hardware supply and demand at the time of provisioning.
3. Eligibility
You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use the Service. By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.
4. User Accounts
4.1 Registration. You must provide accurate, current, and complete information during account registration and keep your account information up to date.
4.2 Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at [email protected] if you become aware of any unauthorised use of your account.
4.3 One Account Per User. Each user may maintain only one account unless otherwise agreed in writing.
5. Billing and Payments
5.1 Prepaid Balance. The Service operates on a prepaid balance model. You must maintain sufficient balance in your account before creating or renewing instances. Charges are deducted from your balance based on the billing cycle you select (hourly, daily, or monthly).
5.2 Non-Refundable. Prepaid balances are non-refundable except where required by applicable law or where a refund is issued at our discretion (for example, in the case of a failed instance provisioning).
5.3 Price Changes. We may adjust pricing at any time. Price changes will be communicated via the Service interface or by email. Existing prepaid balances will be honoured at the rate at which they were purchased, but new charges will reflect current pricing.
5.4 Taxes. You are responsible for any applicable taxes, duties, or government-imposed fees associated with your use of the Service. Prices displayed on the platform are exclusive of tax unless stated otherwise.
5.5 Automatic Renewal. If you enable automatic renewal for an instance, charges will be deducted from your balance at the end of each billing cycle. If your balance is insufficient, the instance may be terminated.
6. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. The following activities are prohibited:
- Cryptocurrency mining without prior written permission from SynpixCloud
- Unauthorised access to other users' instances, data, or accounts
- Network abuse, including denial-of-service attacks, port scanning, or traffic flooding directed at any system
- Distribution of malware, exploits, or any software intended to damage or gain unauthorised access to systems
- Illegal content or activity, including but not limited to storage or distribution of content that violates applicable law
- Resource abuse, including attempts to circumvent resource limits or security controls
We reserve the right to investigate suspected violations and to suspend or terminate access in accordance with Section 8.
7. Data and Intellectual Property
7.1 Your Data. You retain full ownership of all data, models, code, and outputs that you upload, create, or generate using the Service. SynpixCloud does not claim any ownership or licence rights over your data beyond what is necessary to operate the Service.
7.2 Our Property. The Service, including its software, interfaces, documentation, and underlying infrastructure, is the property of Synpix Ltd or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you rights to SynpixCloud's trademarks, logos, or branding.
7.3 Data Retention on Termination. Upon termination of your account or an instance, any data stored on the instance may be permanently deleted. It is your responsibility to back up your data before an instance expires or is terminated. Retained disks are subject to their own billing and retention terms as described in the Service documentation.
8. Suspension and Termination
8.1 Termination by You. You may stop using the Service at any time. You may request account deletion by contacting [email protected].
8.2 Suspension or Termination by Us. We may suspend or terminate your access to the Service if:
- You materially breach these Terms and fail to remedy the breach within a reasonable period after notification
- Your use of the Service poses a security risk to the Service or other users
- Your use of the Service is in violation of applicable law
- Your account has been inactive for an extended period and carries no balance
Where practicable, we will provide notice before suspension or termination and an opportunity to retrieve your data. In cases involving illegal activity or imminent security threats, we may act without prior notice.
8.3 Effect of Termination. Upon termination, your right to use the Service ceases immediately. Remaining prepaid balance is non-refundable except where required by applicable law. We may delete your data within a reasonable period following termination.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SYNPIX LTD DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or available at all times
- Any specific hardware configuration will be available at any given time
- The Service will meet your specific requirements or produce any particular outcome
- Defects in the Service will be corrected within any particular timeframe
10. Limitation of Liability
10.1 Cap. To the fullest extent permitted by applicable law, the total aggregate liability of Synpix Ltd for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid to SynpixCloud during the three (3) months immediately preceding the event giving rise to the claim.
10.2 Exclusion. To the fullest extent permitted by applicable law, Synpix Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, regardless of the theory of liability, even if Synpix Ltd has been advised of the possibility of such damages.
10.3 Exceptions. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Synpix Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or third-party rights
- Any content or data you store on or transmit through the Service
12. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email or through the Service interface. Your continued use of the Service after such changes constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you should stop using the Service.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
15. Entire Agreement
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Synpix Ltd regarding the Service and supersede all prior agreements and understandings.
